There are 2 ways, If registrar voluntary shutting down business, they 
generally hand over the domains to a new registrar.

But in some cases, if registrar shut business, ICANN take control over 
the domain names and Invites other registrars to take over the domains.

Based on Major customer base location of closed registrar ICANN choose 
to transfer the domains to new registrar.

In such transitions, gaining registrar verify ownership of domains via 
whois information available to them.

Its always suggested to have genuine whois information in domain so that 
in any such case or in other matters also, you can comfortable able to 
use your domain.
