I like Ed's outline +1.

Would only add that In my view, we already have the framework of
interpretation of ICANN's role!  A lot of time and effort already expended
defining that for the IANA Transition kerfuffle from which emerged this
Empowered Community Model.

Let's resist the inclination to go invent a new wheel
