It's an interesting legal tactic: -- file a law suit. -- tie up your opponent's election for board members, leaving them without a quorum. -- just for insurance, prevent the CEO's contract from being extended (due to the aforementioned lack of a board quorum). -- go to court.  Prevent the opponent's attorney from participating, claiming he was not properly appointed. - due to the lack of a board quorum to do so.-- essentially win the case by default, since there is no opposition. 
Interesting, and apparently effective.  But one has to wonder what the judge was thinking, to let it happen.
